Coreus corporate practice includes mergers and acquisition transactions for corporations, individuals, private equity houses, hedge funds and investment banks. Coreus also provides a wide range of counseling services to corporate boards, board committees and management on corporate, executive compensation and disclosure matters. Our transactions are frequently international in scope.

Mergers and Acquisitions

As part of its merger and acquisition practice, Coreus represents clients in connection with mergers, acquisitions, divestitures, leveraged buyouts, spin-offs, recapitalizations and other corporate restructurings, issuer and third-party tender or exchange offers, takeovers and takeover defense, proxy contests and joint ventures.

Private Equity and Venture Capital

Coreus private equity and venture capital practice handles early-stage venture capital investments, later-stage growth capital transactions, leveraged buy-outs, recapitalizations and going-private transactions. Coreus represents private equity firms, corporate venture capital arms, start-up entities and entrepreneurs, special committees of boards of directors, providers of mezzanine financing, senior lenders, issuers and underwriters in initial public offerings, and issuers and underwriters of high-yield debt.

Corporate Advisory

Coreus advises boards of directors and senior management with respect to the procedural aspects and legal consequences of particular actions and corporate and securities transactions, takeover defenses, directors and officers fiduciary duty and liability issues, proxy contests, filings with securities regulators and disclosure issues, corporate governance, and general corporate law matters.

Disclosure

Coreus advises issuers with respect to their disclosure obligations under the securities laws in Europe and the United States. We routinely assist in the preparation of proxy materials and annual stockholder reports as well as other disclosure documents in connection with significant events, such as financings and mergers and acquisitions.
